Deutsche Konsum REIT-AG (DKR) issued a revised notice of its Annual General Meeting (AGM) to its shareholders. The AGM is scheduled to take place on Thursday, 13 July 2023, at the prestigious Ludwig Erhard Haus in Berlin, Germany.
The revised notice comes in response to a counter-motion and a proposal for election submitted to the company. These new developments indicate an increased level of shareholder engagement and active participation in the decision-making process.
The counter-motion, announced to be made to agenda item 5 of the original Invitation, seeks to amend the proposed composition of the Supervisory Board. Instead of reducing the board to four members as initially suggested by the Company, the counter-motion proposes a reduction to five members. This amendment aims to ensure an optimal balance and diversity within the board’s structure.
Moreover, a proposal for election has been put forth for agenda item 6, suggesting the appointment of Mr. Sebastian Wasser, a distinguished managing director residing in Starnberg, Germany, to the Supervisory Board. Mr. Wasser’s extensive experience and expertise make him a valuable potential addition to the board.

The suggested additions to the agenda, subject to oral submission during the AGM, are as follows:
Addition to Agenda item 5: § 9 (1) of the Articles of Association shall be reworded as follows: “The Supervisory Board shall consist of five members.”
Addition to Agenda item 6: The proposal for election suggests that Mr. Sebastian Wasser, managing director and resident of Starnberg, Germany, be elected by the Annual General Meeting to the Supervisory Board.
To facilitate the voting process, the revised form of proxy will be made available on DKR’s website and will be distributed to shareholders in the near future.
